Summary
As a corporate attorney with a MBA, Mr. Maroto brings both a legal and business
perspective to financial transactions. Mr. Maroto is involved in almost all
of the firms engagements due to his solid understanding of financial,
legal and tax issues germane to privately held companies in the middle market.
Throughout his entire career, he has specialized in merger and acquisition related
activities, including strategy, acquisition analysis, buyer identification and
selection, transaction structuring, due diligence, and post-acquisition analysis
and implementation.
In addition to technical expertise, Mr. Maroto brings to Apex
Partners a solid background in research, strategic planning, financial analysis,
and valuation theory. His experience includes transactions both domestic and
international in a wide variety of sectors, including: manufacturing, industrial
and consumer products, technology, distribution, business services, and healthcare.
Education and Accreditation
Mr. Maroto earned a B.A. degree from Hampden-Sydney College, and subsequently
received a J.D. degree, with distinction, and a M.B.A. from the Delaware School
of Law, Widener University and the Widener Business School, respectively. Currently,
Mr. Maroto is a member of the United States District Court, the Pennsylvania
Supreme Court Bar, the Pennsylvania Bar Association and is also a registered
agent of the National Association of Securities Dealers.
Work Experience
Prior to joining Apex Partners, Mr. Maroto was with First Union National Banks
Corporate and Investment Banking Group for three years where he was exclusively
focused on M&A and growth capital raises involving privately-held companies.
This followed two years with Asinvest, SA, a European M&A consulting group
where he focused on international cross-border transactions and international
corporate development.
In addition to his strong background in finance, Mr. Maroto has
several years of commercial legal experience with an emphasis on structuring
and negotiating stock and asset purchase agreements, as well as the analysis
and resolution of a variety of commercial, securities, and tax issues. He has
substantial advisory experience in bankruptcy, insolvency, reorganizations and
ESOPs, and in the valuation of privately-held businesses for the purposes of
stock transfers, financial structuring, and litigation.
Mr. Maroto currently resides in Mt. Laurel, New Jersey with his
wife and two children.
